官方規則、申請細則及條款

For the purpose of these official rules, terms and conditions, “The Mills Fabrica” means Fabrica Incubator Limited and its affiliates collectively.

就本官方規則、申請細則及條款而言,「南豐作坊」是 [Chinese name of Fabrica Incubator Limited] 及其關聯公司的統稱。

Eligibility
The application to The Mills Fabrica incubation is opened to all entrants aged 18 or over at the time of submission, who meet either one of the following criteria (the “Entrants”):
(a)    The Entrants have a registered business that focuses on techstyle-related services or products (the “Business”); or
(b)    The Entrants have a demonstrable business concept that focuses on techstyle-related services and products (the “Concept”).

1. 參加資格

南豐作坊培育計劃的申請者須於遞交申請之時年滿十八歲,以及符合以下其中一項資格(下稱「參加者」):
(a) 參加者須擁有商業登記,及須為科技及紡織時裝有關的服務或產品(下稱「商業」);或

(b) 參加者能顯示一個以科技及紡織時裝有關為主的商業概念(下稱「概念」)。

How to Enter
2.1 Interested parties are invited to submit their entry through the online submission form on the Mills Fabrica website at the following webpage: www.themillsfabrica.com/application (the “Entry/Entries”).
Each Entry should be submitted in the following way:
(a)    A short description of the Business or the Concept of up to 300 words in English and 500 words in Chinese; and
(b)    A video file and/ or visuals and / or presentation deck of the Business or the Concept.
2.2 The Entrant’s name filled in the online submission form shall be the name used and shown in the Entrant’s identification documents.

2. 參加辦法

2.1 有興趣參加的人士可經南豐作坊的網上申請表遞交申請:www.themillsfabrica.com/application(下稱「參加的商業項目」)。

每份參加的商業項目須以下列方式遞交:

一段300字(英文)或500字(中文)內關於其商業或概念的描述;及
一個有關其商業或概念的錄像檔案及/或視覺效果及/或演示文件檔案。
2.2 參加者於網上申請表所填寫的姓名須與其身份證明文件相符。

Submission Restrictions
3.1 The Entries must be the original product(s) and creation of the Entrants which must not contain materials, images, marks, designs and artwork etc that are not created by the Entrants.

3.2 The Entries must NOT contain materials, images, marks, designs, artwork and information etc that violate any laws and regulations and/or infringe others’ rights, such as intellectual property rights.

3.3 The Entries must NOT contain materials that (1) are inappropriate, indecent, obscene, hateful, tortious, defamatory, slanderous or libellous, sexually explicit or suggestive, unlawful, and/or those that (2) depict illegal drug use, alcohol abuse, terrorism, weapons, violence or nudity, and/or those that (3) promotes bigotry, racism, hatred, harm against any groups or individuals, discrimination based on race, gender, religion, nationality, disability, sexual orientation or age.

3.4 Entries that pertain to any of the above may be disqualified.

3. 參加限制

3.1 參加的商業項目須為原創,以及不可包含任何非參加者創作的內容、影像、標記、設計及藝術品等等。

3.2 參加的商業項目不可包含任何違法及/或侵權(如知識產權)的內容、影像、標記、設計、藝術品及資訊等等。

3.3 參加的商業項目不可包含任何 (1) 不當、猥褻、淫穢、具厭惡性、侵權、中傷、誹謗、明確或暗示的色情、違法的,及/或 (2) 描述非法吸毒、酗酒、恐怖主義、攻擊性武器、暴力或裸露的,及/或 (3) 鼓吹盲目信仰、種族主義、仇恨、傷害任何團體或個人、鼓吹歧視種族、性別、宗教、國籍、殘障、性取向或年齡的內容。

Selection of Entries
4.1 The Committee of representatives of The Mills Fabrica (defined in clause 5.1 below) will review all Entries received. The Mills Fabrica reserves the rights and has absolute discretion to decide the number of applications to be selected.

參加的商業項目之甄選
4.1 南豐作坊代表的委員(定義於下列條款5.1)將會審閱已遞交的參加的商業項目。南豐作坊保留一切權利,包括擁有絕對酌情權決定入圍申請者的數目。

The Assessment Criteria
5.1 The Entries will be assessed by designated representatives of The Mills Fabrica (the “Committee”).

5.2 The Entries will be assessed based on the following criteria (the “Assessment Criteria”):
(a)    Innovative, Original, Creative Idea:
Because of the focuses on drawing out new business ideas, the core idea itself is of elevated importance. In this category, a completely new idea with compelling potential, quality and uniqueness will do well, even if the proposed details of its execution seem doubtful.

(b)    Proof of a Market:
The best products or services fail if nobody wants to buy them. Therefore, each Entry should identify its targeted group of people, customers and stockists (the “Targeted Market”) with a unique need that the Business or the Concept could address and offer to meet.

(c)    Demonstration of Competitive Advantage:
Once the Targeted Market is identified, if it is truly viable, it will probably already have other potential business competitors competing directly or indirectly for it (the “Competitors”). Each Entry should acknowledge and identify these Competitors and explain what would set its own Business or Concept apart. If there are no Competitors for the Targeted Market, the Entry should explain why the Targeted Market is empty and suggest how it is possible to establish and enter it.

(d)    Social Value:
The sustainability and the potential positive and beneficial impact of the Business or the Concept to the society will be considered.

評審準則
5.1 所有參加的商業項目將會由指定的南豐作坊代表委員(下稱「委員」)審閱。

5.2 委員將以以下準則評審參加的商業項目(下稱「評審準則」):

(a) 創新、原創及具創意的意念:

是次計劃著重嶄新的商業意念,因此核心理念的創新較其他準則為重要。即使項目內容的實行性不大,若當中有充滿潛質、優秀、獨特及引人注目的想法,其參加的商業項目仍有機會獲選。

(b) 市場肯定:

若沒有顧客願意購買,它也只是一件失敗的產品。因此,每個參加的商業項目須識別其目標市場、顧客及供貨來源(下稱「目標市場」),同時指出其商業或概念如何滿足其需求。

 

展示競爭優勢:

 

若已識別的目標市場真有其拓展的空間,該市場很可能已有一批直接或間接的潛在競爭者(下稱「競爭者」)。每個參加的商業項目須識別其競爭者,以及闡述其商業或概念不同或特別之處。若目標市場內沒有競爭者,參加者申請內須闡述其目標市場空癟的原因,及建議拓展市場的方法。

 

社會價值:

 

參加的商業項目的商業或概念的可持續性和對社會的潛在正面影響將會被納入考慮之列。

Final Selection
All decisions made by the Committee including but not limited to the selection of the incubatees are final and binding on all Entrants.
6. 最終甄選

所有委員的決定,包括但不限於作坊公司的甄選,均為最終而對所有參加者具約束力。

Intellectual Property Rights and Ownership
7.1  The Entrants will retain ownership of their Entries, including all intellectual property rights which are lawfully created and may exist in the Entries.

7.2  By submitting the Entries, the Entrants grant The Mills Fabrica an unconditional and perpetual right, license and consent to reproduce, encode, store, keep, copy, transmit, publish, post, broadcast, display and exhibit the Entries in any media channels throughout the world, without limitation, and without additional review, compensation, or approval from the Entrants or any other party.

7.3    By applying to The Mills Fabrica incubation program, the Entrants agree to make available on request the sources of materials used by the Entrants for their Entries.

7.4    Each Entrant hereby represents and warrants to The Mills Fabrica that for the purpose of and in the course of producing and submitting the Entries for the application to The Mills Fabrica incubation program, to the best of their knowledge, they have not incorporated and will not incorporate any third parties’ materials, images, designs, marks, videos, artwork and information etc in creating the Entries, and such Entries have not infringed any third parties’ intellectual property rights.  In the event that there is such incorporation of any third parties’ materials, images, designs, marks, videos, artwork and information etc in the Entries, the Entrants shall obtain the relevant licences and approval. The Mills Fabrica does not accept any responsibilities and liabilities and the Entrants shall indemnify and keep The Mills Fabrica indemnified for the Entrants’ infringement of any intellectual property rights and their use and publication of any unlawfully produced and/or reproduced materials, images, marks, designs, videos, artwork and information etc in the Entries submitted by the Entrants.

知識產權及所有權
7.1 參加者將保留其參加的商業項目之所有權,包括所有合法創造和可能存在於參加的商業項目的知識產權。

7.2 通過遞交參加的商業項目,參加者授予南豐作坊無條件和永久的權利,許可和同意於任何國家的傳播媒介複製、編碼、儲存、保存、發送、出版、發佈、廣播、展示及展覽其參加的商業項目。南豐作坊進行上述行為時不受任何限制,亦不須作出額外審查、補償或徵求參加者或任何各方的批准。

7.3 通過申請南豐作坊培育計劃,參加者同意可應要求提供其參加的商業項目之內容來源。

7.4 參加者在此向南豐作坊就其所知作出聲明及保證,有關創作及遞交南豐作坊培育計劃的參加的商業項目的過程及目的,其沒有及不會將第三方的內容、影像、設計、標記、錄像、藝術品及資訊等等納入在其參加的商業項目之內,以及其參加的商業項目沒有侵犯任何第三方的知識產權。若參加者需將第三方的內容、影像、設計、標記、錄像、藝術品及資訊等等納入在其參加的商業項目之內,須取得相關牌照及批准。若參加者於其遞交的參加的商業項目侵犯任何知識產權及使用和出版任何非法製作和/或複製內容、影像、標記、設計、錄像、藝術品及資訊等等,南豐作坊不會承擔任何責任及義務,且參加者須就南豐作坊的任何有關責任及損失作出彌償。

Publicity and Personal Data
8.1 Submission of application means that the Entrants consent to supply to The Mills Fabrica and its respective authorised agents, and give permission to the same to collect the Entrants’ personal data such as their names, age, sex, occupation, contact details, country of origin, likeness, photographs, interests, designs portfolio, and details of the Entries etc in connection with various matters of the selection process, the identification of the Entries against the Entrants, the carrying out of the presentation and marketing, advertising and promotional purposes in any media channels worldwide.

8.2 Such data are collected from (i) the Entrants by completing the online submission form, and through other oral interviews and presentation, and (ii) other documents or materials provided by Entrants to The Mills Fabrica.

8.3 All personal data supplied by the Entrants and collected by the Mills Fabrica will only be used for purposes which are directly and indirectly related to the carrying out of the selection process.  They are as follows:

(a)    verifying the Entrants’ identities;
(b)    verifying the eligibility of the Entrants;
(c)    identifying the Entries submitted against the Entrants;
(d)   marketing, advertising and promoting The Mills Fabrica together with its community including Entrants selected as The Mills Fabrica Incubatees, through journalists of any media channels worldwide.

8.4 All personal data kept by The Mills Fabrica may be transferred to parties who will be involved in the operation of the selection process, and to its subsidiaries, group companies, such as persons, agencies, partners, and journalists of any media channels who are authorized to receive such information relating to the operation.  Such information may be transferred to a place outside Hong Kong.

8.5 For the avoidance of doubt, The Mills Fabrica will not need to make any payment to the Entrants for these purposes.

8.6 The Mills Fabrica has the right to charge a reasonable fee for the processing of any data access request in accordance with the terms of the Personal Data (Privacy) Ordinance (Chapter 486 of the Laws of Hong Kong).

8.7 The Entrant has the right:

(a)    to check whether The Mills Fabrica holds data about him and of access to such data;
(b)    to require The Mills Fabrica to correct any data relating to him which is inaccurate;
(c)    to be informed of the kind of his personal data held by The Mills Fabrica;
(d)    to ascertain The Mills Fabrica’s policies and practices in relation to the data.

宣傳及個人資料
8.1通過遞交申請,參加者同意向南豐作坊及相關授權代理人為甄選過程有關的各種事項、識別參加的商業項目是否屬於參加者、進行演示及於任何國家的傳播媒介進行營銷、廣告和促銷,而收集其姓名、年齡、性別、職業、聯絡資料、出生地、肖像、相片、喜好、設計作品集及參加的商業項目的詳情等個人資料。

8.2 上述資料經 (i) 參加者所遞交的網上申請表、其他口頭面試及演示及 (ii) 參加者予南豐作坊的其他文件或內容收集。

8.3 所有由參加者提供及由南豐作坊收集的個人資料將僅被用於直接及間接與進行甄選過程有關的用途。用途如下:

(a) 核對參加者身份;

(b) 核對參加者參加資格;

(c) 識別參加的商業項目是否屬於參加者;

(d)  透過任何國家的傳播媒介的記者,進行對南豐作坊及其團體,包括獲選為作坊公司的參加者的營銷、廣告和促銷。

8.4 所有由南豐作坊保管的個人資料可能會被轉送至涉及甄選過程運作的人士,以及南豐作坊的子公司和集團公司,如獲授權收取相關資訊的人士、代理、夥伴及任何媒體的記者。上述資訊可能會被轉送至香港以外的地區。

8.5 為免存疑,南豐作坊將不須因以上用途向參加者支付任何費用。

8.6 南豐作坊擁有根據《個人資料(私隱)條例》(香港法例第486章),處理任何存取請求而收取合理費用的權利。

8.7 參加者有權:

(a) 查閱南豐作坊是否持有及存取其資料;

(b) 要求南豐作坊更正任何其錯誤的資料;

(c) 獲告知南豐作坊持有的個人資料類別;

(d) 確定南豐作坊在處理個人資料方面的政策及慣例。

Notice to the Entrants in relation to the Use of Personal Data for Direct Marketing
The Mills Fabrica intends to use a data subjects’ data (i.e. Entrants’ data) in direct marketing and The Mills Fabrica requires the data subjects’ consent (which includes an indication of no objection) for that purpose.  In this connection, please note that:

(a)    the name, contact details, email address, mobile number of a data subject held by The Mills Fabrica from time to time may be used by The Mills Fabrica in direct marketing;
(b)    the following classes of services, products and subjects may be marketed:
(i)    leasing, tenancy, roadshows and related information of The Mills Fabrica;
(ii)    events organized by and/or held at The Mills Fabrica; and
(iii)    incubation programs, seminars and education programs organized by and/or held at The Mills Fabrica.

If a data subject does not wish The Mills Fabrica to use his data in direct marketing described above, the Entrant may exercise his opt-out right by notifying The Mills Fabrica.

有關使用個人資料作直接促銷的通知
南豐作坊擬在直接促銷中,使用資料當事人的個人資料(即參加者的個人資料),而南豐作坊須獲得資料當事人同意(包括表示不反對)作此用途。就此而言,請注意:

(a)  南豐作坊所持有的資料當事人的姓名、聯絡資料、電郵地址、電話號碼將可能被南豐作坊用作直接促銷;

(b)  下列是可用作促銷下列類別的服務、産品及項目:

(i) 南豐作坊的出租、租約、巡迴宣傳及相關資訊;

(ii) 由南豐作坊舉辦及/或於南豐作坊舉辦的活動;及

(iii) 由南豐作坊舉辦及/或於南豐作坊舉辦的培育計劃、研討會及教育計劃。

如資料當事人不希望南豐作坊如上述使用其資料作直接促銷用途,資料當事人可通知南豐作坊行使其選擇權拒絕促銷。

Other General Terms and Conditions
10.1 The Mills Fabrica reserves the right to cancel, suspend and/or modify the selection process, or any part of it, for any reason, and will not be liable for any loss suffered by the Entrants arising directly, or indirectly as a result of the cancellation, suspension and modification.

10.2 The Mills Fabrica reserves the right to modify, amend and change these Official Rules, Terms and Conditions including but not limited to the details, rescheduling, suspending or cancellation of the selection process, the entry requirements, the Assessment Criteria and/or other terms and conditions of the selection process as it sees fit at any time, and will not be liable for any loss suffered by the Entrants arising directly, or indirectly as a result of these modifications, amendments and changes.

10.3 The Mills Fabrica reserves the right, in its sole discretion, to verify the Entrants’ eligibility to enter into the selection process and to, at any time, disqualify any Entrants it finds to be tampering with the entry process or the operation of the selection process and/or to be acting in violation of these Official Rules, Terms and Conditions and/or in an unsportsmanlike or disruptive manner.

10.4 Any attempt by any Entrants to deliberately undermine the legitimate operation of the selection process may be a violation of criminal and civil law, and, should such an attempt be made, The Mills Fabrica reserves the right to seek damages from any such Entrants to the fullest extent permitted by law. The Mills Fabrica’s failure to enforce any terms of these Official Rules, Terms and Conditions and/or its rights shall not constitute a waiver of that provision and/or its rights.

10.5 By submitting the application, the Entrants agree to release and hold harmless The Mills Fabrica, The Committee, other participating companies (if any), suppliers, distributors, advertising/promotion agencies, sponsors and other prize suppliers, and each of their respective parent, subsidiaries and affiliate companies and their respective officers, directors, employees, agents and insurers (collectively, the “Released Parties”) from and against any claims or causes of action, including, but not limited to misappropriation of third parties’ intellectual property and/or infringement of those rights, breach of confidentiality, or damage to or loss of property, arising out of or related to the Entrants’ participation during the selection process.

10.6 The Released Parties are not responsible for: (1) any incorrect or inaccurate information, whether caused by the Entrants, printing errors or mistakes associated with or utilized in the application to The Mills Fabrica incubation program; (2) technical failures of any kind, including, but not limited to malfunctions, interruptions, failures or disconnections in phone lines or network hardware, software or webpages; (3) unauthorized human intervention in any part of the entry process or the selection process; (4) technical or human error which may occur in the administration of The Mills Fabrica incubation program selection or the processing of the Entries; (5) late, lost, undeliverable, damaged or stolen mails; or (6) any damage to persons or property which may be caused, directly or indirectly, in whole or in part, by the Entrants’ applying to The Mills Fabrica incubation program.

10.7 The Mills Fabrica accepts no liability for any loss of any kinds suffered by the Entrants arising directly, or indirectly, out of and/or related to the Entries and/or the Entrants’ participation in the selection process.

10.8 All decisions made by The Mills Fabrica including but not limited to the administration and operation of the selection process are final and binding on all Entrants.

其他條款和條件
10.1南豐作坊保留因任何原因而取消,暫停及/或修改甄選過程或其任何部份的權利,並且不會對參加者因取消、暫停及修改直接或間接引起的損失負責。

10.2 南豐作坊保留因應情況而更改、修正及改動官方規則、申請細則及條款的權利,包括但不限於其細節、更改日期、暫停或取消甄選過程、參加要求、評審準則及/或其他甄選過程的細則及條款,並且不會對參加者因更改、修正及改動直接或間接引起的損失負責。

10.3 南豐作坊保留自行決定核對參加者的參加資格,及在任何時候發現參加者於參加過程或甄選過程之運作的篡改行為,及/或違反官方規則、申請細則及條款及/或違反體育道德或具破壞性的行為,可以取消其資格的權利。

10.4任何參加者嘗試蓄意損害推廣活動的合法運作均可能違反刑事和民事法律, 以及一旦作出該等嘗試,南豐作坊保留在法律允許的最大範圍內向該等人士追究賠償的權利。如南豐作坊沒有強制執行官方規則、申請細則及條款的任何條款及/或其權利, 均不代表能免除此等條款及/或權利之約束。

10.5 參加者同意通過遞交申請,免除就南豐作坊、委員、其他參與計劃的公司(如有)、供應商、經銷商、廣告/促銷代理商、贊助商及其他獎品供應商,及其母公司、附屬公司及聯營公司,以及其行政人員、總監、 僱員 、 代理人及保險商(統稱「免責方」)因參加者在參與甄選過程中引起的任何索償或訴訟,包括但不限於挪用第三方之知識產權及/或侵害該權利、違反保密原則,或財物損壞或損失。

10.6 免責方不須為以下負責:(1) 不論是否由參加者提供的任何不正確或不準確的資訊、印刷錯誤或相關錯誤,或該資訊有否於南豐作坊培育計劃的申請中被使用;(2) 任何技術故障,包括但不限於電話線路、網絡硬件、軟件或網頁的失靈、中止、故障或中斷;(3) 於參加過程或甄選過程中未經授權的人為干預;(4) 於南豐作坊培育計劃甄選或處理參加的商業項目的行政上可能發生的技術或人為錯誤;(5) 逾期、遺失、無法投遞、已損壞或被盜的郵件;或(6) 任何因參加者於南豐作坊培育計劃的申請直接或間接所引起的所有或部份的人身或財物的損失。

10.7 南豐作坊不會就任何參加者由於及/或有關參加的商業項目及/或參加者參與的甄選過程所蒙受的直接或間接產生的損失承擔任何責任。

10.8 南豐作坊對於所有決定,包括但不限於甄選過程的行政管理及運作,均有最終決定權,並對所有參加者具約束力。
