By participating in the giveaway campaign (“Event”), the participant ("Participant") confirms that he/she has read, understood and agreed to the following terms and conditions, and the Privacy Policy and Personal Information Collection Statement of Fabrica Incubator Limited:

1. This Event is organized by Fabrica Incubator Limited (“The Mills Fabrica”).
2. The Event will commence on 8 Jan 2026 12:00AM (HKT) and end on 18 Jan 2026 at 11:59PM (HKT) (“Event Period”).
3. Participants must meet all of the following requirements in order to be eligible to participate in the Event:
   - Follow the official Instagram accounts of Fabrica X (@fabricax_hk) and NF Touch (@nftouch_nf); and
   - Registered as a member of Fabrica X e-shop (https://www.fabricaxhk.com/) and NF Touch Membership Programme (“NF Touch”) (https://www.nftouch.com.hk/en/download-nftouch).
4. The Event is also subject to the terms of service of Fabrica X e-shop (https://www.fabricaxhk.com/policies/terms-of-service) and terms and conditions of NF Touch (https://www.nftouch.com.hk/en/terms-conditions#terms_and_conditions).
5. To participate in the Event, a Participant must share a brand or product they would want Fabrica X to carry in its store by leaving a comment under NF Touch’s relevant Instagram post for the Event during the Event Period and tagging two friends in the comment.
6. After the end of the Event, The Mills Fabrica will, in its sole and absolute discretion, select 5 eligible Participants with the most creative comments as winners.
7. Each winner can receive two HKD100 e-coupons from AIRSIDE and two HKD100 e-coupons from The Mills via NF Touch mobile app (each a “Prize”). The coupons can be used at designated shops at the relevant mall and are subject to further terms and conditions.
8. The timing of all submissions shall be judged according to the time stamp recorded by Instagram.
9. Each Participant warrants that the copyright and any other intellectual property rights in his/her submission(s) belongs to himself/herself and the submission(s) does not infringe any lawful rights (including but not limited to intellectual property rights, privacy rights and image rights). Each Participant agrees to allow and authorizes The Mills Fabrica to use and/or monetize the Participant’s submission(s) (or any part thereof) for any commercial, promotional or marketing purpose without compensation. The Mills Fabrica and its affiliated companies shall not be responsible for any liability, including costs and expenses incidental to complaints, claims or suits of third parties, arising from or in connection with any breach of this condition or any content uploaded by the Participant or used by The Mills Fabrica and the Participant shall indemnify The Mills Fabrica and its affiliated companies and assume all responsibility and liability in this respect.
10. All submissions must not contain any content that is considered inappropriate, defamatory, libelous, obscene, racist, blasphemous, harmful to national security, or discriminatory in nature or in any other unlawful manner including any material that could be construed as advocating or inciting a criminal offence. The Mills Fabrica has the right to remove and disqualify any submission without prior notice.
11. Any person who acts in breach of any applicable law and/or regulation will be disqualified from the Event.
12. All Prizes are non-exchangeable, non-transferable and non-refundable and may be subject to change by The Mills Fabrica without prior notice.
13. Participants can make multiple submissions by leaving more than 1 comment but each Participant cannot win more than once. The Mills Fabrica reserves the right to disqualify any individual or party who uses empty/ fake accounts to participate, or tampers with the mechanics of the Event.
14. The Mills Fabrica will directly contact the winners through Instagram private message using the official account (@fabricax_hk) regarding prize collection. Winners must reply and provide all relevant details for verification and arranging prize collection within 3 working days or else the winner will be disqualified without notice or compensation. If a winner is disqualified for any reason, The Mills Fabrica reserves the right to select another Participant as a replacement.
15. Before providing any personal data, Participants must thoroughly read and agree to The Mills Fabrica’s Privacy Policy and Personal Information Collection Statement.
16. The Mills Fabrica shall not be responsible for any loss of data or delay in data transmission due to any direct or indirect cause which is not under the reasonable control of The Mills Fabrica, including but not limited to, a breakdown or failure of the Internet, computer equipment, communication facilities or other equipment, any interruption, delay, corruption or interception of such communication, or as a result of any technical irregularity, power failure, earthquake, storm, fire, flood, labour dispute, strike, explosion, war, act of God or the delay or non-performance by a third party.
17. All images, descriptions (including the product value (if any)) and marketing materials are for reference only.
18. The Mills Fabrica reserves the right to suspend, terminate or change any details of the Event at any time and to vary or amend any applicable terms and conditions from time to time without prior notice or compensation.
19. In case of any dispute, The Mills Fabrica reserves the right to make the final decision.
20. The failure or delay of The Mills Fabrica to enforce its rights under these terms and conditions at any time for any period shall not be used as a waiver of such rights.
21. In case of any discrepancy between the English version and any translation of these terms and conditions, the English version shall prevail.
22. These terms and conditions shall be governed by the laws of Hong Kong and any dispute arising hereunder shall be subject to the exclusive jurisdiction of the courts of Hong Kong.
